This Terms and Conditions document (“Agreement”) is a legally binding contract between Tantrash Technologies Pvt. Ltd.(TTPL) ("Company," "We," "Our," or "Us"), and the retail business, corporate entity, or partnership firm registering for, accessing, or deploying our billing solution ("Merchant," "You," or “Your”).
By activating, installing, or executing transactions via the TTPL POS application, software extensions, or master cloud dashboard (collectively, the "POS Platform"), you validate that you have read, understood, and explicitly agreed to be bound by these clauses.
a) Grant of License: TTPL grants a limited, non-exclusive and revocable license to use the POS software for business billing and inventory tracking.
b) Account Responsibility: Merchants are responsible for all activities performed using their account credentials.
c) Explicit Prohibitions:
a) Hardware Compatibility: TTPL is not liable for issues caused by unsupported hardware.
b) Internet Connectivity: Cloud syncing requires active internet connectivity.
c) Offline Mode Data Risk: Unsynced offline data may be permanently lost due to device failure or cache deletion.
a) Integrated Payments: TTPL supports RBI-authorized payment gateways.
b) Independent Relationship: Settlement disputes and payout timelines are governed by the payment provider.
a) Subscription Models: Access is based on monthly, quarterly, or annual plans.
b) Suspension for Non-Payment: Services may be suspended if dues remain unpaid for over 7 days.
c) Taxation: Applicable GST will be added according to Indian tax laws.
a) TTPL Ownership: TTPL owns all software and platform assets.
b) Merchant Data Ownership: Merchants retain ownership of their business data.
a) GST Filing Responsibility: Merchants are solely responsible for tax filing accuracy.
b) Data Preservation: Records may be retained for up to 8 financial years.
a) As-Is Basis: Services are provided without guaranteed uninterrupted availability.
b) Liability Cap: Liability is limited to subscription fees paid in the last 3 months.
c) Exclusion of Consequential Losses: TTPL is not liable for indirect business losses.
a) Termination for Cause: Either party may terminate the agreement for material breach.
b) Post-Termination Extraction: Merchants will have 30 days to export their data.
a) Governing Law: Governed under the laws of India.
b) Arbitration: Disputes will be resolved under the Arbitration and Conciliation Act, 1996.
c) Jurisdictional Court: Courts located in Lucknow, Uttar Pradesh shall have jurisdiction.
